1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Subscriber," "you," or "your") and SaaSEquity Partners LLC ("Company," "we," "us," or "our"), operating the OfferHeat service accessible at this website. By accessing or using OfferHeat, subscribing to our service, or making any purchase through our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree with any part of these Terms, you must not access or use our service.

2. Description of Service

OfferHeat is a premium digital subscription service that provides daily Clickbank affiliate marketing intelligence. The service includes, but is not limited to: winning CBID (Clickbank ID) data, private offer conversion rate intelligence, real campaign ad breakdowns, affiliate performance benchmarks, and actionable market strategy - delivered privately via a members-only Telegram channel.

OfferHeat is a market intelligence and information service. We do not guarantee any specific financial results, earnings, or return on investment. The data and insights provided are for informational and educational purposes only. All investment and business decisions made based on OfferHeat intelligence are your sole responsibility.

3. Subscription and Billing

OfferHeat is offered as a recurring monthly subscription at the rate displayed on our website at the time of purchase. All prices are listed in United States Dollars (USD). By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

All payments are processed securely through Stripe, a PCI-DSS Level 1 certified payment processor. We do not store your full credit card number on our servers. Your payment information is encrypted and handled directly by Stripe in accordance with the highest industry security standards.

We accept Visa, Mastercard, American Express, and Discover. Your subscription will automatically renew each month on the anniversary of your original purchase date. You will receive a receipt via email for each payment.

Founding member pricing is locked in for the duration of your continuous subscription. If you cancel and later resubscribe, the then-current pricing will apply.

4. Delivery of Service

Upon successful payment, you will receive an invitation link to the private OfferHeat Telegram channel via the email address associated with your purchase. Access is typically granted within minutes of payment confirmation. A free Telegram account is required to access the service.

New intelligence is delivered daily within the private Telegram channel. Delivery schedules may vary, and we reserve the right to adjust the frequency or format of intelligence drops at our discretion while maintaining the overall value of the service.

5. Cancellation Policy

You may cancel your subscription at any time. Cancellation can be completed through:

Upon cancellation, your access to the OfferHeat Telegram channel will continue until the end of your current billing period. No further charges will be made after cancellation. There are no cancellation fees, penalties, or long-term contracts.

6. Refund Policy

We offer a 3-day refund window from the date of your initial purchase. If you are unsatisfied with the service for any reason within the first 3 days, contact us at [email protected] to request a full refund.

After the 3-day refund window, all sales are final. Refunds are not available for subsequent monthly renewal charges. This policy exists to ensure that only serious marketers who intend to act on the intelligence subscribe to the service.

Refunds are processed back to the original payment method via Stripe and typically appear within 5-10 business days depending on your financial institution.

7. Acceptable Use

By subscribing to OfferHeat, you agree to the following:

• You will not redistribute, resell, share, screenshot, or publicly disclose any intelligence, data, or content delivered through the OfferHeat channel without prior written consent.
• You will not share your Telegram channel access with any third party.
• You will not use the service for any unlawful purpose or in violation of any applicable laws or regulations.
• You will not attempt to reverse-engineer, scrape, or automate the extraction of data from the service.

Violation of these terms may result in immediate termination of your subscription without refund.

8. Intellectual Property

All content, data, analysis, branding, and materials provided through OfferHeat are the intellectual property of SaaSEquity Partners LLC and are protected by applicable copyright, trademark, and intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, personal license to access and use the content for your own business purposes only.

9. Disclaimer of Warranties

OfferHeat is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of the intelligence provided. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.

Earnings Disclaimer: OfferHeat is a market intelligence service. We do not guarantee that you will earn money, recover your subscription cost, or achieve any particular results by using our service. Individual results depend on many factors including your experience, effort, market conditions, and business decisions. Any examples of earnings or results referenced in our marketing materials are not guarantees of future performance.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SaaSEquity Partners LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising from or related to the service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless SaaSEquity Partners LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, your violation of these Terms, or your violation of any rights of a third party.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on this page with a revised "Last Updated" date. Your continued use of the service after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Middlesex County, Massachusetts.
